James Coleman, Chairman
Mr. Coleman is a Senior Partner and former Chairman of Macleod Dixon, Barristers & Solicitors. He has extensive experience in international law with a focus on the energy and resource sectors in addition to corporate finance, banking and securities. He has been involved in banking, corporate, securities, mining and oil and gas transactions throughout the world including Africa. He has also been involved in a number of large divestments and acquisitions, corporate reorganizations and major financings. He is a member of the Law Society of Alberta, the Canadian Bar Association and the Rocky Mountain Mineral Law Foundation and has authored numerous legal papers on resource law and banking. As a director of various public companies, including mining and oil and gas companies, he has chaired various independent committees relating to corporate governance and securities matters. Mr. Coleman received his LL.B from Dalhousie University in 1974 and a Bachelor of Business Administration from Saint Francis Xavier University in 1971. In 2009 and 2010, Mr. Coleman was honoured as a “Best Lawyer in Canada, Natural Resources”.

John Begeman, President and CEO, Director
John Begeman, President and Chief Executive Officer of Avion Gold Corporation is a mining engineer with over 30 years of mining experience. Mr. Begeman was previously the Chief Operating Officer of Zinifex Canada Inc. (formerly Wolfden Resources Inc.) and Vice President, Western Operations of Goldcorp Inc. , he is also a director of several other public companies. Mr. Begeman holds a B.S in Mining Engineering, a M.S. in Engineering Management and an MBA.

Stan Bharti, Director
Mr. Bharti is a professional engineer and is currently the President and Chief Executive
Officer of Forbes & Manhattan, Inc., a private merchant bank operating in
Canada, the United States and Western Europe. From February 2002 to April 2006,
he was Chairman and a director of Desert Sun Mining Corp., a Toronto Stock Exchange-
listed mining company which was acquired by Yamana Gold Inc. He has over
25 years of experience in operations, public markets and finance. Mr. Bharti is also a
director of several public and private companies.

George Faught, Director
George Faught is a Chartered Accountant with over 25 years of senior management experience. He has served as the Chief Financial Officer of publicly traded companies in the natural resources, financial services and pharmaceutical industries. Mr. Faught has broad financial management, corporate development and operating experience and from 1999 to 2005 served as the Chief Financial Officer for North American Palladium Ltd., a mid-tier platinum group metal producer. Prior to that, he served as Chief Financial Officer for Hudson Bay Mining & Smelting Co. Ltd., an integrated base metals producer, and William Resources Inc., an international gold producer. He also serves as a director of several public companies in the resource sector.

Mr. Humphrey brings a lifetime of mining industry experience, including having served as a former Chief Operating Officer at Goldcorp Inc. and most recently as President and Chief Executive Officer of Desert Sun Mining Corp. prior to its sale to Yamana Gold Inc.

Maj. Gen Lewis W. MacKenzie, Director
Major-General (Ret.) Lewis W. MacKenzie served in the Canadian Forces for 36 years, including assignments with NATO forces in Europe and international peacekeeping forces in Gaza, Cairo, Cyprus, Vietnam, Central America and Sarajevo. He is now an active and widely sought commentator on military and international affairs, and a best selling author.

Pierre Pettigrew, Director
The Honourable Pierre S. Pettigrew has had a most distinguished career as a Canadian federal cabinet minister, serving as Minister of Foreign Affairs and Minister for International Trade in his last positions in public office. Mr. Pierre Pettigrew also served as Minister of Health, Minister of Intergovernmental Affairs, Minister of Human Resources Development and Minister of International Cooperation. As a cabinet minister, he chaired numerous working groups on difficult international trade issues and lead trade missions to China, India, Russia, Germany, Algeria, Morocco, South Africa, Nigeria, Mexico, and other countries. From 1985 to 1995, he was an International Business Consultant with Deloitte.
